Business Sale and Promoter Exit Advisory

A business exit needs clarity on the owner's objectives, the business being offered and the terms that matter. PvtFin supports promoters through a confidential, defined sale process, from preparation and authorised buyer approaches to commercial negotiation and transaction coordination.

Plan the exit around your priorities

An owner may want to sell the business completely, realise part of an investment, bring in a strategic buyer or reduce day-to-day involvement. These choices affect who should be approached, what information is needed and how a transaction should be structured.

We begin by understanding the intended outcome and the authority to pursue it. The agreed mandate identifies the company or business involved, ownership proposed for transfer, confidentiality requirements, commercial priorities and work PvtFin will undertake.

Situations we can assess

  • A promoter is considering a complete or partial exit.
  • Shareholders want to explore a strategic sale while preserving business continuity.
  • An owner has received an approach and needs support evaluating the commercial terms.
  • A group wants to divest an identified business or division.
  • Promoters want to assess sale readiness before authorising buyer outreach.

Work covered by an agreed mandate

Exit brief and sale readiness

Record the owner's objectives, proposed transaction perimeter, financial position and major dependencies. Identify missing records, ownership questions and issues that require professional review before approaching buyers.

Business profile and supporting information

Prepare an owner-approved introduction using client records. Organise financial and operating information, explain its basis and distinguish audited numbers, provisional results and management estimates. Prepare a document index for later diligence.

Controlled buyer approach

Develop an agreed buyer profile and approach plan. Use an approved anonymous introduction where suitable. Release identifying or sensitive information in accordance with client instructions and the confidentiality arrangements for the relevant stage.

Review of interest and offers

Assess expressions of interest against buyer fit, apparent funding capacity, proposed consideration, timetable and conditions. Compare the commercial effect of upfront payments, deferred amounts, continuing promoter involvement and other material commitments.

Commercial negotiation

Prepare issues and alternatives for negotiation. Coordinate authorised discussions on price, payment structure, working capital treatment, transition arrangements and other agreed commercial terms. The client approves offers and commitments.

Diligence and closing coordination

Maintain an information request tracker, responsibilities and agreed closing actions. Coordinate with the client's legal, tax, accounting and valuation advisers. Each professional remains responsible for the work assigned to them.

How the engagement progresses

  1. Initial discussion

Establish the business, the decision-maker, the proposed exit and the immediate need using basic information.

  2. Confidential review

Agree scope and confidentiality before reviewing sensitive records. Assess readiness and recommend the next stage.

  3. Preparation and outreach

Finalise the approved profile, buyer criteria and approach process. Record discussions and interest received.

  4. Negotiation and coordination

Support agreed commercial discussions and transaction actions, with client approvals and specialist responsibilities recorded.

An engagement can stop after a useful readiness review. Buyer outreach and transaction execution require their own accepted scope.

Information to share initially

Start with the company or business name, sector, principal location, brief operating history, indicative financial position, proposed full or partial exit, ownership available for sale and your authority to discuss it. Mention any existing offer, adviser mandate, dispute or deadline affecting the proposed process. Detailed records follow after scope and confidentiality are agreed.

How fees are agreed

Fees reflect the preparation required, transaction complexity, outreach work and continuing involvement. The written engagement identifies fixed or retainer fees, any agreed completion component, payment triggers, treatment of earlier fees and approved external expenses. Legal, tax, formal valuation and regulated professional work are identified separately. A preliminary expression of interest does not by itself establish a completed sale.

Questions promoters ask

Can you assist with a partial sale?

Yes, a partial sale can be assessed within a defined mandate. We clarify the ownership proposed for transfer, the promoter's continuing role and the desired buyer profile. Governance, transfer rights and future exit terms need appropriate legal and tax consideration.

Can the first approach be anonymous?

An approved anonymous introduction can be used where suitable. We agree what may be disclosed, to whom and at which stage. Detailed information is released under the applicable confidentiality arrangements and the client's instructions.

Do we need to fix a final asking price immediately?

An initial commercial expectation helps shape the process, but its basis should be examined. Business performance, debt, cash, working capital, transaction perimeter and payment conditions may affect the eventual consideration. A formal valuation, where required, is a separate professional assignment.

Can you assess an offer we already have?

Yes. The assignment can focus on an existing approach or offer. The scope records the information available, terms to be reviewed and negotiations requested. It need not include a new buyer search if that work is unnecessary.

Will you guarantee a buyer or a sale price?

No. Buyer interest, diligence findings, commercial agreement and required approvals affect the outcome. The engagement sets out the work to be performed and progress to be reported. Decisions to accept an offer remain with the authorised owners.

How are legal and tax matters handled?

PvtFin supports the agreed commercial process. Legal advice, tax structuring, formal valuations, due diligence opinions and regulated intermediary responsibilities are assigned to appropriately qualified professionals and registered intermediaries where required. Their scope, responsibility and fees are confirmed before that work begins.

Can you advise the seller and buyer in the same transaction?

The engagement identifies the party represented and any conflict before work starts. Information supplied by one party is not freely shared with another. Any proposed additional role requires an appropriate conflict review, clear disclosure and the necessary consent.

How long does the process take?

Timing depends on readiness, the buyer universe, information quality, diligence, negotiation and approvals. We agree milestones for the work within our scope and update the plan as circumstances change. A sale timetable is not a commitment that a transaction will close.
