An NDA sets out the agreed confidentiality terms before detailed, sensitive mandate information is shared.
Depending on the engagement, these arrangements may address the purpose of disclosure, the parties involved and how information can be used or shared.
The executed NDA and engagement documents contain the specific terms applicable to your mandate.
Agree the scope of external circulation
Before information is presented to a capital provider, we agree with you on the scope of circulation and the appropriate confidentiality arrangements.
The recipient, purpose and information required may differ between preliminary assessment and detailed diligence.
If you have restrictions concerning particular parties, commercially sensitive details or transaction timing, raise them before circulation is authorised.
