Corporate Debt Resolution and OTS Advisory

Build a reasoned resolution plan around the debt, the records and the funds available.

A corporate debt problem needs a clear financial position and a proposal the company can implement. PvtFin supports promoters and finance teams with confidential assessment, authorised lender engagement and agreed implementation work for stressed borrowing obligations.

Start with the position that needs to be resolved

Your company may have overdue facilities, an account under recovery, an earlier settlement that needs implementation or several lenders requiring coordinated proposals. The appropriate route depends on the current obligations, security, payment resources, legal position and the relevant lender's policy and decision.

We first establish the facts and the nearest deadline. Where an auction, hearing, enforcement step or expiring settlement requires urgent attention, counsel should assess the necessary protective action alongside the commercial work.

What the first assessment provides

Debt and lender map

Organise the agreed borrowing relationships, principal, interest, charges, disputed amounts and relevant dates. Record the source of each material figure. A gross demand is not automatically an agreed settlement balance.

Security, guarantees and recovery position

Identify the assets, guarantees, notices, earlier offers and proceedings relevant to the proposed work. Legal interpretation, title conclusions and formal valuations remain with the appropriate professionals.

Payment capacity

Examine the amount, timing, evidence and conditions of proposed promoter funds, asset realisation or another identified payment source. A possible refinancing route is recorded separately from money already available.

Resolution options and next steps

Compare a settlement proposal, regularisation, revised repayment terms or another route that merits examination. Explain affordability, dependencies, missing evidence and decisions required from management. The assessment may recommend further preparation or another process before negotiation.

The output is a written assessment and explanation meeting for the agreed scope. Lender negotiations and continuing implementation require a separately accepted execution mandate.

Proposal and lender engagement

Where execution is appropriate, PvtFin can prepare a commercially reasoned proposal from the accepted records and payment plan. We coordinate supporting information, authorised submissions, discussions and agreed revisions. A dated tracker records what has been proposed, the lender's response and the client's next decision.

The lender considers the proposal under its applicable policy and approval process. PvtFin does not determine the settlement amount or grant an OTS. Client approval is required before an offer, revised commitment or acceptance is communicated on its behalf.

Review the terms before committing

A written lender approval needs careful examination of the amount, payment dates, conditions, consequences of default and agreed closure documents. Security releases, guarantee treatment and pending proceedings require specific attention from the relevant professionals.

An approval letter is an important stage, but it is not the same as a fully implemented settlement. The company must be able to meet the accepted terms and evidence the required payments and conditions.

Implementation and completion support

An agreed implementation assignment can track payment milestones, conditions, acknowledgements and outstanding closure items. We coordinate the commercial follow-up for the documents and reporting actions included in the mandate.

The completion record should identify what the lender has confirmed as satisfied and what remains pending. A settlement with one lender should not be assumed to release obligations to another lender or a guarantee that has not been expressly addressed.

Existing settlements and multi-lender matters

If an OTS was approved before PvtFin's appointment, the assignment can focus on reviewing and implementing that existing approval. The work and fees should reflect the remaining task.

Group or multi-lender matters require an entity-wise and lender-wise scope. Where insolvency, criminal proceedings, attachment or complex recovery issues affect the case, the necessary specialist involvement is established before acceptance.

How the engagement works

  1. Initial discussion

Identify the company, authorised contact, lenders, approximate exposure, present issue, nearest deadline and proposed payment source.

  2. Defined assessment

Agree confidentiality, records, deliverables and fees. Review the debt, resources and options, then explain the recommended next step.

  3. Authorised execution

Where accepted, prepare and progress the agreed proposal, obtain management decisions and maintain the negotiation record.

  4. Implementation and close-out

Track the accepted conditions, payments and specified closure requirements. Record remaining dependencies and complete the agreed handover.

Records requested progressively

After the initial scope is established, relevant records can include sanction letters, lender statements, demand notices, security and guarantee documents, earlier offers or OTS approvals, legal notices and orders, financial information and evidence of proposed settlement funds.

The document list is tailored to the case. Basic information is sufficient for the first discussion; sensitive records follow the agreed confidentiality arrangements.

Fees and responsibilities

The written engagement separates assessment, active execution, any agreed extension and any completion component. It defines the work, payment triggers, treatment of earlier fees and approved external costs. An extension requires an agreed work plan. Waiting for an external response alone does not create an automatic continuing mandate.

Any completion fee has an expressly agreed definition of completion and consideration. Legal representation, valuation and any financing engagement are separately identified and priced. The client's payments to its lender remain under its own authorised control.

Questions promoters and finance teams ask

Can every stressed account obtain an OTS?

No. The lender's policy, recovery assessment, approvals and the actual case determine whether a proposal can be considered. The first assessment examines whether there is a useful and supportable route to pursue.

Can you promise a particular waiver or settlement percentage?

No. We examine the records and prepare a reasoned proposal. The accepted mandate specifies work and reporting, not a guaranteed concession.

Do negotiations stop recovery proceedings or an auction?

Negotiations alone should not be treated as a stay. Share urgent notices and dates immediately so that counsel can assess the required action and the commercial timetable can be coordinated accordingly.

Can you help implement an OTS already sanctioned?

Yes, subject to review of the existing approval, payments made, remaining conditions and deadlines. The engagement covers the work still required rather than treating an earlier approval as a new negotiation outcome.

Can PvtFin arrange the settlement funds?

A financing requirement can be assessed separately where there is a credible route. A debt-resolution mandate does not establish funding approval or availability. The source and timing of settlement money must be examined before a commitment is made.

Will the settlement automatically release all collateral and guarantees?

The accepted terms and relevant documentation determine the releases. Each security, guarantee and proceeding should be identified and reviewed. Completion with one party does not automatically discharge another obligation.

Does settlement erase credit history or assure future borrowing?

No. Accurate lender reporting and any supported correction request are distinct from deleting genuine history. Future borrowing is separately assessed by the prospective lender under its applicable criteria.

Can several lenders or group companies be covered?

Yes, these matters can be assessed with the required resources. The scope must identify each entity, debt owner, lender, dependency and completion milestone.
