Commercial Settlement Negotiation
Bring a clear commercial proposal to an unresolved business dispute.
An unpaid invoice, disputed deduction or unfinished contract can absorb management time and hold up important decisions. PvtFin helps corporates assess the financial position, prepare practical settlement options and conduct authorised commercial discussions.
The engagement starts with the records, the people who can make decisions and the outcome the client is prepared to accept. Scope and fees are agreed before substantive work begins.
Situations where this service may help
- Customer payments are pending because invoices, delivery records or deductions remain disputed.
- A supplier and buyer disagree over amounts payable, advance adjustments, returns or credit notes.
- A contractor's final bill, retention amount or commercial close-out needs discussion.
- A distributor relationship is ending with deposits, inventory and outstanding balances to reconcile.
- A contract has become difficult to complete, and the parties want to examine revised terms or an orderly exit.
- Management wants a documented proposal before entering further discussions through its legal advisers.
The assignment can concern money your company is seeking to receive or an obligation it needs to resolve. The starting position must be supported by usable records.
Establish the financial position first
We organise the contract history, invoices, receipts, adjustments and correspondence into a dated commercial record. Amounts accepted by both sides are separated from amounts that remain disputed or require further evidence.
This review can identify missing completion records, unresolved credit notes, unallocated receipts or different interpretations of the payment schedule. Each material figure is linked to its source rather than treated as established merely because it appears in a demand.
Prepare a proposal management can evaluate
Depending on the matter, the commercial options may include an agreed payment schedule, reconciliation of deductions, return or adjustment of stock, settlement of a final account, revised performance milestones or termination economics.
For each proposed route, we examine the amount, timing, conditions, financial implications and practical dependencies. The client's authorised decision-maker approves the negotiating position and any revised offer.
Manage the agreed negotiation work
PvtFin can prepare the commercial proposal, arrange discussions with the appropriate counterparties, record offers and responses, and keep the client informed of decisions required. Meetings, revisions and follow-up periods are defined in the engagement.
Where terms are agreed in principle, the parties' lawyers should settle the necessary documentation, releases, security arrangements and treatment of existing proceedings. We can coordinate the agreed commercial inputs and maintain a payment and action tracker after signing.
Payments and acknowledgements are recorded against the agreed terms. Items awaiting completion remain visible until the agreed assignment closes.
What the first assessment provides
For the specified matter and available records, the assessment produces:
- A summary of the counterparties, contract and present issue.
- A reconciliation of the principal amounts, adjustments and disputed items.
- An evidence gap list and record of important dates.
- Commercial options with the assumptions and decisions each requires.
- A recommended next step and proposed negotiation scope, where worthwhile.
The assessment may identify that more evidence, a legal opinion or another process is needed before negotiations can usefully proceed.
How the engagement works
Confirm the matter
Share a short description, the parties involved, approximate amount and nearest deadline. We check the proposed role, authority and any conflict before accepting work.
Agree confidentiality and scope
Confirm the documents, deliverables, fees and specialist responsibilities before the detailed review.
Assess and obtain instructions
Present the financial position and options. Management decides what may be proposed and who can approve changes.
Conduct authorised discussions
Work within the agreed mandate, obtain approvals for revised terms and maintain a dated negotiation record.
Document and track implementation
Coordinate with counsel and the client's team on the agreed documentation, payment milestones and completion evidence.
Information needed for an initial discussion
Company and authorised contact; counterparty; nature and approximate amount of the dispute; present stage; nearest contractual or legal deadline; and the outcome being considered. Contracts, ledgers, invoices, delivery or completion records, correspondence and legal notices can follow after the scope and confidentiality arrangements are confirmed.
Scope and fees
Assessment and negotiation are separately defined stages. Fees may be fixed or linked to agreed stages of work. Any additional commercial completion component requires an expressly agreed and permissible basis. Legal and other professional work is identified and priced separately.
How this differs from other services
Commercial Settlement vs. Bank OTS Advisory
Commercial Settlement Negotiation concerns business counterparties and contracts. Borrowing obligations with banks and other lenders are handled through Corporate Debt Resolution and OTS Advisory.
Questions corporates ask
Is this a debt collection agency service?
This service covers financial assessment and commercial negotiation for identified corporate counterparties. The mandate specifies the issue and authorised approach. Legal recovery and enforcement work remain with counsel under a separately defined assignment.
Do you act as a neutral mediator?
PvtFin ordinarily acts for the appointing client as a commercial adviser. A jointly appointed neutral mediator has a different role and requires a separate appointment and process.
Can you negotiate with our existing lawyers involved?
Yes. Commercial analysis and lawyer-led legal work can proceed together under clearly assigned responsibilities. The client retains control of settlement decisions.
Can discussions start after proceedings have begun?
The possibility must be reviewed with the client's counsel. Negotiations do not automatically suspend legal deadlines, enforcement or proceedings. Necessary protective steps and formal disposal of proceedings remain matters for counsel.
Can you guarantee that the other party will settle?
No. Agreement depends on the parties, evidence, commercial position and approvals. We agree the work we will perform, rather than promise a concession or payment date.
What if there are several counterparties or group companies?
Identify each entity, obligation and authorised signatory. A proposal involving one party should not be assumed to bind another. Multi-party work receives a specific scope.
How is this different from bank OTS advisory?
Commercial Settlement Negotiation concerns business counterparties and contracts. Borrowing obligations with banks and other lenders are handled through Corporate Debt Resolution and OTS Advisory.
Is a verbal understanding enough to close the assignment?
The engagement should specify the required completion evidence. Important terms should be documented through the appropriate legal process, with payments, releases and pending obligations tracked against the agreed settlement.
