When the payment date is already fixed
The supplier has held dispatch until payment. A customer has moved a collection date. An acquisition is ready to close, but part of the funding is still pending. The company has a business to run and a payment that needs to be made.
In that situation, the first discussion should establish the amount required, the exact deadline and the cash that will repay the borrowing. Those three facts give the funding proposal its shape.
If ₹10 crore is needed this week and a larger facility is being planned for expansion, explain them separately. The immediate payment can then be assessed on its own merits while the wider funding requirement is considered.
PvtFin works with promoters, CFOs and authorised corporate teams to arrange funding through family office counterparties. We coordinate the proposal and negotiations; the actual funding party makes the funding decision.
What 72 calendar hours means
The period starts with the first enquiry to PvtFin. It refers to elapsed calendar time, including weekends, and covers disbursement for eligible transactions.
The assessment, commercial discussion, approvals and documentation have to fit within that period. The exact payment deadline should therefore be given in the first call or message, including the time of day where it matters.
Tell us what is ready now. Are the current financial figures available? Can the authorised decision-maker join the discussion? Is the repayment source supported? Which approvals or signatures remain pending?
A missing document or an unresolved borrowing issue can affect the timetable. Where the deadline falls over a weekend or holiday, the availability of the parties and the required approvals and transfer arrangements also needs to be established at the outset.
A private funding discussion, with terms agreed for the deal
Family office funding is discussed around the company, its requirement and the proposed repayment. The amount, interest, tenure, repayment schedule, fees and other conditions are negotiated between the relevant parties and recorded in the transaction documents.
Commercial terms are handled confidentially. The borrower can begin with a short summary; sensitive financial records can follow through the agreed confidentiality and NDA process.
Identify the company that will receive the money, even where the requirement relates to a larger group. The funding documents, authority to borrow and repayment obligations need to be clear for that entity.
The written terms should also identify the actual legal funding counterparty. This gives the borrower a clear record of who is providing the funds and what each party has agreed to do.
Agreements, cheques and ICD or ICL structures
Documentation depends on the transaction. In some cases, an agreement and cheques may form part of the arrangements, alongside the other legal formalities required for the deal.
Where the funding and borrowing parties are companies, an inter-corporate deposit (ICD) or inter-corporate loan (ICL) may be an appropriate structure. The choice depends on the entities involved and the terms agreed.
The purpose and treatment of any cheque should be clear in the written documents. Corporate approvals, guarantees, undertakings, filings and any other requirements are addressed as applicable to the parties and the transaction.
PvtFin’s route discussed here is unsecured. Any personal or corporate guarantee, undertaking or additional obligation is dealt with in the negotiated terms for the particular case.
Begin with a clear funding brief
A detailed presentation can follow. For the first discussion, send:
- The borrowing company’s name, business activity and approximate annual turnover.
- The amount required and the payment it will fund.
- The exact date and time by which the money is needed.
- The proposed repayment source and expected repayment date.
- Existing borrowing, including any overdue amount, dispute or lender notice.
- The promoter, CFO or authorised person who will coordinate the transaction.
If part of the repayment depends on a group company or promoter, explain how that money will reach the borrower. If a bank sanction is expected to provide the exit, state what remains to be completed before the funds can be drawn.
An early, accurate account of the debt position allows the funding party to assess the actual case. Keep the immediate requirement and the repayment plan consistent across the first message, financial records and subsequent discussions.
Have the supporting records ready
Recent financial statements, current management figures, bank statements and an updated debt schedule are useful starting points. Add the records supporting the payment to be made and the expected repayment.
For a customer collection, explain the amount accepted, expected payment date and any deductions or dispute. For refinancing, identify the sanction status and outstanding conditions. For an investor contribution, state what has been agreed and what is still pending.
Assign one person to coordinate the information. The company’s authorised decision-maker should be available to settle commercial points and arrange approvals. This helps the assessment and documentation move together.
Before sending sensitive records, agree who will receive them for assessment and how confidentiality will be handled.
Check usable cash and the repayment obligation
The agreed facility amount and the cash reaching the company can differ where charges are deducted. Confirm the net disbursement against the payment that must be made.
Also establish the interest calculation, payment dates, agreed fees, early-repayment conditions and any extension terms. Calculate the cash required over the full period, including interim payments.
Then examine the proposed repayment receipt after the company’s other commitments. Payroll, suppliers, statutory dues and existing debt may already have a claim on that cash. The remaining amount needs to support the new obligation.
The emergency facility should fit the company’s cash position through to repayment.
