A foundry-linked purchase can involve grade and yield, while a finished pump sale may carry dealer terms or performance obligations. A textile-machinery order may require testing and commissioning. An acquisition to integrate a process should be assessed through sustainable savings and the cash needed to keep existing orders running.
Separate material conversion, accepted equipment earnings and dealer cash rotation before choosing a funding or advisory structure.
Weight, grade and price can change the cash requirement
Metal and recycled-input transactions need more detail than aggregate purchase and sales values. A casting or metal-input transaction may settle on grade, usable weight and process yield before the finished part is sold. Reconcile weighment, grade adjustments, processing yield and final settlement terms. Examine how price movements flow through the customer contract. Funding should be assessed against the borrower’s actual margin and stock ownership, with no assumption that gross material value represents available repayment cash.
Trade margin and cash rotation need separate tests
Distribution turnover can be large while retained cash is thin. A finished pump or motor business may carry dealer credit, returns and programme or seasonal stock. Review supplier credit, rebates, returns and customer concentration together with debtor ageing. The facility should support a repeatable trading cycle after expenses and existing debt service. Borrowing that merely moves unpaid suppliers into another short-term liability may not solve a weak underlying margin.
Contract value is not free cash
An order book should be converted into milestones rather than shown as a single headline. A machinery order may require testing or site commissioning before all payment milestones are available. Identify advances already spent, certification conditions, retention, performance obligations and any liquidated-damages exposure. The relevant funding amount comes from the remaining cost to execute and the timing of collectible receipts, after allowing for bank guarantees and existing borrowing against the same contract.
