A programme win can consume cash before it contributes: engineering costs, validation and supplier commitments may precede serial production. A group may also consider a technology or capability acquisition. The funding case should show current cash generation, programme conditions and post-transaction working capital rather than treating consolidated sales as freely available liquidity.
Bring treasury, plant finance and programme teams onto the same set of assumptions so ownership decisions and operating funding do not compete invisibly for cash.
Contract value is not free cash
An order book should be converted into milestones rather than shown as a single headline. Engineering or development recovery may depend on programme milestones while component sales follow a separate collection cycle. Identify advances already spent, certification conditions, retention, performance obligations and any liquidated-damages exposure. The relevant funding amount comes from the remaining cost to execute and the timing of collectible receipts, after allowing for bank guarantees and existing borrowing against the same contract.
The borrowing company must own its cash flows
A group presentation can hide differences between the operating unit, asset owner and customer-facing company. Treasury may coordinate several operating entities whose customer contracts, guarantees and assets remain distinct. Map inter-company balances, guarantees and existing security before proposing finance. The entity seeking money should explain its lawful use and repayment source. Cash held elsewhere in the group is useful only where transfer, approvals and lender restrictions have been examined.
A purchase price does not describe the whole acquisition
An acquisition requires a view of liabilities and operations on the completion date. A technology or manufacturing-capability acquisition can bring integration, customer consent and working-capital needs beyond consideration. Separate shares, business assets, inventory and working-capital adjustments. Assess consents, continuing customer contracts and any debt that must be repaid or assumed. Acquisition funding should leave enough liquidity to run the business after ownership changes, rather than consuming it all at completion.
